2.2. Scope of Engagement: The specific details of our services, deliverables, and pricing will be outlined in a separate agreement or proposal, which you will review and approve before commencing the project.
3.1. Access: To provide our services, we may require access to your software accounts (e.g., CRM, Email, Slack) via API keys or login credentials. You agree to grant us necessary permissions.
3.2. Compliance: You acknowledge that you are responsible for ensuring that the use of AI agents and automations complies with applicable laws (including anti-spam laws) in your jurisdiction.
4.1. Fees: You agree to pay the fees specified in the agreement or proposal. Payments shall be made according to the agreed-upon schedule.
4.2. Taxes: You are responsible for any applicable taxes or fees levied on the services provided.
5.1. Ownership: Any unique code or automation schemas developed specifically for you shall generally be licensed to you upon full payment. Proprietary pre-built agents or frameworks owned by MR.C DIGITAL remain our property.
We will treat all non-public information and data you provide to us as confidential and will not disclose it to any third party without your consent, except as required by law.
Either party may terminate the services by providing written notice. In the event of termination, you shall pay for services rendered up to the termination date.
Our agency shall not be liable for any damages, losses, or expenses arising from the use of our automations, including but not limited to software downtime, API changes by third-party providers, or AI hallucinations.
These Terms of Service shall be governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts in Brasov, Romania.
We may update these Terms of Service from time to time. The most current version will be available on our website.
